Terms of Service
These Terms of Service govern all business-to-business purchases made from NicoExport and the use of our wholesale services. By creating a business account, requesting a quotation, placing an order, or purchasing products from NicoExport, the customer agrees to these Terms of Service.
NicoExport operates exclusively within the B2B wholesale market. Our products and services are intended for registered businesses, including retailers, wholesalers, distributors, and other professional operators.
1. Business Customers Only
NicoExport does not sell directly to private consumers.
By placing an order, the customer confirms that they are acting on behalf of a registered business or other eligible commercial entity and are purchasing products for professional or commercial purposes.
NicoExport reserves the right to request and verify information including:
- Company registration details
- VAT or tax identification numbers
- Business address and contact information
- Information regarding the customer's commercial activities
- Other documentation reasonably required to verify B2B status
NicoExport may reject, suspend, or close a wholesale account if the information provided cannot be verified or is found to be inaccurate.
2. Wholesale Account Registration
Access to certain prices, products, and purchasing functions may require an approved NicoExport wholesale account.
Submitting an account application does not guarantee approval.
NicoExport reserves the right to approve or decline account applications at its discretion and may request additional business information before granting access to wholesale pricing or ordering.
Customers are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account.
3. Products & Availability
NicoExport offers nicotine pouches and related products from multiple brands for wholesale distribution.
Product availability may change without prior notice.
Although we aim to maintain accurate stock information, displaying a product on our website does not guarantee that the requested quantity is immediately available.
If an ordered product becomes unavailable, NicoExport may contact the customer to arrange an alternative product, adjust the quantity, postpone fulfilment, or provide another commercially reasonable solution.
Product images are provided for general reference. Packaging, design, labeling, nicotine strength indications, and other product characteristics may vary between production batches and markets.
4. Wholesale Pricing
All prices displayed or quoted by NicoExport are wholesale prices intended for approved business customers.
Unless explicitly stated otherwise, prices exclude:
- VAT
- Shipping and freight charges
- Customs duties
- Import taxes
- Local taxes and regulatory charges
- Customs clearance fees
- Other destination-specific costs
Prices may change due to supplier pricing, exchange rates, taxation, transportation costs, market conditions, or other commercial factors.
The price confirmed on the customer's accepted order or invoice applies to that specific transaction.
5. Minimum Order Quantities
Minimum order quantities may apply to purchases from NicoExport.
The applicable MOQ may vary depending on product, brand, destination, availability, and commercial agreement.
Where mixed-brand or mixed-product orders are permitted, individual product or quantity requirements may still apply.
Any applicable MOQ requirements will be communicated through the website, quotation, invoice, or directly by NicoExport.
6. Orders & Acceptance
Submitting an order does not automatically constitute final acceptance by NicoExport.
Orders may be subject to:
- Business account verification
- Product availability
- Payment confirmation
- Compliance review
- Destination restrictions
- Logistics feasibility
An order is considered accepted once confirmed by NicoExport and, where applicable, the corresponding invoice has been issued and payment requirements have been fulfilled.
NicoExport reserves the right to decline or cancel an order where fulfilment is not commercially, legally, or operationally possible.
7. Payment
Unless separate payment terms have been agreed in writing, all orders must be paid in full before dispatch.
Accepted payment methods and payment instructions will be communicated during checkout or stated on the applicable invoice.
The customer is responsible for ensuring that the full invoiced amount is received by NicoExport.
Any bank charges, intermediary banking fees, currency conversion costs, or similar transaction fees charged to the buyer may remain the customer's responsibility.
NicoExport is not required to release or dispatch goods until cleared payment has been received.
8. Shipping & Delivery
Orders are shipped according to NicoExport's current Shipping Policy and the delivery terms agreed for the relevant transaction.
Unless otherwise agreed in writing, international shipments are made under Incoterms® CPT (Carriage Paid To).
NicoExport generally uses UPS for smaller carton shipments and Dachser for larger freight and pallet shipments. Alternative carriers may be used where appropriate.
Shipping costs are charged separately unless explicitly included in a written quotation or commercial agreement.
Estimated processing and transit times are not guaranteed delivery dates.
9. Transfer of Risk
Where an order is shipped under CPT terms, risk transfers from NicoExport to the buyer when the goods are handed over to the first carrier, in accordance with the applicable Incoterms® rules.
The allocation of transport costs and the transfer of risk are separate matters under CPT.
Where another Incoterm or delivery arrangement has been agreed in writing, risk transfers according to the applicable agreed terms.
10. Importer of Record
For international shipments, the buyer normally acts as the importer of record unless otherwise agreed in writing.
The buyer is responsible for understanding and complying with the import requirements applicable in the destination country.
This may include responsibility for customs clearance, import duties, taxes, permits, licenses, product registrations, notifications, labeling requirements, and other regulatory obligations.
11. Legal & Regulatory Compliance
Nicotine pouch regulations vary between countries and jurisdictions.
Customers are responsible for determining whether the products they purchase may legally be imported, possessed, marketed, distributed, and resold in their intended market.
This responsibility includes verifying applicable requirements relating to:
- Permitted nicotine levels
- Product composition
- Packaging and labeling
- Health warnings
- Product registration or notification
- Age restrictions
- Advertising and marketing
- Retail and distribution
- Importation and customs
NicoExport does not guarantee that every product offered is legally permitted in every country or market.
12. Customs & Governmental Actions
NicoExport cannot guarantee customs clearance or regulatory approval in the destination country.
Where a shipment is delayed, rejected, returned, seized, or otherwise affected by customs authorities or governmental bodies due to destination-specific import requirements or the customer's failure to comply with applicable regulations, NicoExport is not responsible for resulting losses or costs to the extent permitted by applicable law.
The customer must provide accurate information and documentation required for export, transportation, and import procedures.
13. Order Changes & Cancellations
Requests to change or cancel an order should be submitted as soon as possible.
Once an order has entered fulfilment, been prepared for dispatch, booked with a carrier, or shipped, cancellation or modification may no longer be possible.
NicoExport reserves the right to charge reasonable costs already incurred in connection with a customer-requested cancellation or modification.
14. Returns
Due to the nature of nicotine products and the requirements associated with product integrity, storage, traceability, and resale, NicoExport generally does not accept standard returns of correctly supplied goods.
Products cannot be returned solely because the customer changes their mind, experiences lower-than-expected resale demand, or is unable to sell the products in their intended market.
Approved claims relating to damaged, defective, missing, or incorrectly supplied goods are handled according to NicoExport's Refund & Claims Policy.
15. Claims & Damaged Goods
Customers must inspect delivered shipments within a reasonable period after receipt.
Any claim regarding damaged goods, missing products, incorrect quantities, or incorrect products should be submitted to NicoExport within 5 business days of delivery.
The customer may be required to provide photographs, shipment documentation, packaging information, and other reasonable evidence necessary to assess the claim.
Failure to report a visible issue within the applicable claim period may affect NicoExport's ability to process the claim.
16. Product Storage & Handling
After delivery, the customer is responsible for storing and handling products appropriately.
NicoExport is not responsible for deterioration, damage, or loss caused by improper storage, excessive heat, moisture, freezing conditions, direct sunlight, damaged packaging after delivery, or other circumstances occurring after risk has transferred to the customer.
17. Resale by the Customer
Customers purchasing from NicoExport operate as independent businesses.
The customer is solely responsible for its own resale activities, pricing, marketing, distribution channels, and compliance with applicable laws.
Purchasing products from NicoExport does not create an agency, franchise, partnership, joint venture, or employment relationship between NicoExport and the customer.
Unless separately authorized in writing, purchasing a brand through NicoExport does not grant the customer exclusive distribution rights or the right to represent themselves as an official representative of NicoExport or any product manufacturer.
18. Intellectual Property
All trademarks, brand names, product names, logos, images, and other intellectual property displayed in connection with products remain the property of their respective owners.
The NicoExport name, website content, original graphics, text, and other proprietary materials belonging to NicoExport may not be reproduced, copied, or commercially used without prior authorization.
19. Website Information
NicoExport aims to provide accurate and current information regarding products, prices, availability, and services.
However, errors may occasionally occur.
NicoExport reserves the right to correct typographical errors, pricing errors, inaccurate product information, or other mistakes and to update website content without prior notice.
If an error materially affects an existing order, the customer will be contacted where reasonably necessary.
20. Limitation of Liability
To the maximum extent permitted by applicable law, NicoExport is not liable for indirect, incidental, consequential, or special losses arising from a B2B transaction.
This may include loss of profit, loss of revenue, loss of business opportunity, loss of customers, or interruption of business.
NicoExport's total liability relating to a specific order shall, to the extent permitted by law, not exceed the amount paid by the customer for the products directly giving rise to the claim.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
21. Force Majeure
NicoExport is not responsible for delays or failure to perform obligations caused by circumstances beyond its reasonable control.
Such circumstances may include transportation disruptions, carrier delays, customs actions, governmental restrictions, regulatory changes, natural disasters, extreme weather, strikes, war, civil unrest, supplier disruptions, system failures, or other force majeure events.
NicoExport will make commercially reasonable efforts to manage affected orders where possible.
22. Changes to These Terms
NicoExport may update these Terms of Service when necessary to reflect changes in business operations, logistics procedures, legal requirements, or commercial practices.
The version applicable to an order is generally the version in effect when the relevant order is placed, unless otherwise required by law.
23. Governing Law
These Terms of Service and commercial transactions with NicoExport are governed by Swedish law, unless mandatory applicable law or a separate written agreement provides otherwise.
Any dispute arising in connection with these Terms or a transaction between NicoExport and the customer should first be addressed through good-faith commercial discussions between the parties.
